1. Scope of Agreement: This contract constitutes the entire agreement between the farmer (seller) and the buyer. The farmer agrees to sell, and the buyer agrees to purchase, the specified quantity of organic tomatoes as detailed above.

2. Payment Terms: The buyer agrees to pay the farmer in two installments: 50% of the total amount upon signing the agreement, and the remaining 50% upon successful delivery of the goods. Failure to pay within 30 days of delivery shall result in a 10% late fee per week.

3. Delivery and Inspection: The farmer will ensure the delivery of the products within 30 days. Upon delivery, the buyer is entitled to inspect the quality of the tomatoes. If the buyer finds any defect in quality or quantity, the buyer must notify the farmer within 48 hours, providing specific reasons. Failure to notify the farmer within this timeframe constitutes acceptance of the goods.

4. Warranties: The farmer warrants that the products supplied will be of organic quality, free from harmful chemicals, and conform to industry standards. However, no warranty is made as to the market value of the products after delivery.

5. Limitation of Liability: Under no circumstances shall either party be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this agreement, including but not limited to loss of profits or business interruption.

6. Termination and Cancellation: Either party may terminate the agreement if the other party fails to meet their obligations. The terminating party must provide written notice of termination, and both parties must attempt mediation before legal action is taken.

7. Governing Law and Dispute Resolution: This agreement is governed by the laws of [Insert Jurisdiction], and any disputes will be resolved through mediation, followed by arbitration if necessary. If arbitration does not resolve the issue, the matter may be taken to court under the jurisdiction of [Insert City/Region].
